Sarah M. Oliker, Esq. joined Goldsand Friedberg as counsel in 2023 and brings a wealth of knowledge across many verticals of the healthcare industry, including medical device distribution and manufacturing, provider arrangements, compliance with healthcare laws and regulations, corporate governance, and M&A.

Experience
Sarah has almost 2 decades of experience in the healthcare and life sciences sector. Prior to joining the firm she was Vice President, Assistant General Counsel at CONMED Corporation, where she advised on international and domestic distribution matters, mergers & acquisitions, health care provider arrangements, and compliance matters. Prior to CONMED, she served as senior counsel for ProCure Treatment Centers, Inc., where she structured complex physician arrangements and hospital joint ventures, provided health care regulatory and reimbursement counsel, as well as overseeing the corporate compliance program. Before going in-house, Sarah spent five years with Epstein Becker & Green in its Health Care & Life Sciences group based in Washington, D.C., where her practice consisted of health regulatory and transactional matters, representing clients from all verticals of the healthcare industry. She is currently admitted to practice in Washington, D.C. and New York. Sarah is Chair of the MedTech Association Board, the trade association for the biotech industry in New York, and also serves on the St. Joseph’s Health Foundation Board of Directors. Preparation of proxy materials for CONMED's Annual Stockholder meeting and advising on corporate governance matters
Relisting of public company stock from NASDAQ to NYSE.
Distribution and supply agreement drafting and negotiation
Advising on data privacy and security matters
Convertible notes offering and deal finance
Advising on multiple acquisitions including: diligence, definitive document drafting and negotiation, securing reps & warranties insurance, deal finance, and integration. Recent transactions include CONMED's acquisitions: Biorez, Inc, In2Bones Global, Inc, Buffalo Filter, Inc. and related convertible notes offering and credit facility amendment to secure transaction financing, and SurgiQuest, Inc. to acquire the AirSeal iFS insufflation platform of products for minimally invasive surgery

Sarah holds a BA in Political Science from Colgate University and earned her JD at Syracuse University College of Law.
